Welcome to Pal, an AI Chatbot service ("Pal", "we", "us", or "our") operated by Pal AI, a company registered in the United Kingdom. These Terms of Service ("Terms") govern your access to and use of our AI Chatbot service, including any related applications, software, websites, products, and services (collectively, the "Service"). If you purchase a subscription to Pal, then the Subscriber Terms shall apply as well. By accessing, using, or registering for the Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.

IMPORTANT ARBITRATION NOTICE: IF YOU ARE IN THE UNITED STATES OR CANADA, YOU AGREE THAT DISPUTES BETWEEN YOU AND QUORA WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION AND YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

1. Acceptance of Terms

By using the Service, you represent and warrant that you are at least 13 years of age and have the legal capacity to enter into these Terms. If you are under 18 years of age, you must have the consent of your parent or legal guardian to use the Service.

2. Privacy Policy

Your privacy is important to us. Our Privacy Policy, which is incorporated into these Terms, explains how we collect, use, and protect your personal information when you use the Service. By using the Service, you agree to the collection and use of your personal information in accordance with our Privacy Policy.

As outlined in the Pal Privacy Policy, we may collect specific personal information related to your use of Pal (including contact information, etc.). Your account information is anonymized before being shared with third-party LLM providers and developers. These third-party developers and LLM providers may receive details about your interactions with bots on Pal (including the contents of your chats, upvotes, etc.) to provide responses and generally improve their services. There is no need to share sensitive personal information with the bots (such as credit card information, social security information, etc.). 3. Your Use of Pal

3.1 Use of Pal

Subject to your adherence to these Terms, we grant you a personal, non-exclusive, non-transferable right to utilize Pal and its bots.

3.2 User Acknowledgments. You acknowledge and agree that:

Bots accessed via Pal should not be relied upon during emergencies; bots may claim to perform actions for you in the real world but may not have taken any action beyond responding to you;

Bots accessed via Pal may generate inaccurate information, and the information provided could be outdated. You should independently verify responses or advice given by any bots on Pal. Pal offers no warranties or guarantees regarding the accuracy of information provided via Pal;

Pal and its bots are subject to change and modification, and may contain errors, design flaws, or other issues;

Utilizing Pal or its bots may lead to unexpected results, loss of data or communications, or other anticipated or unanticipated damage or loss to you;

Pal or its bots may not operate properly, be in their final form, or be fully functional; your access to Pal or the bots is not guaranteed, and they are provided on an AS IS basis;

3.4 Restricted Uses. You agree not to use Pal or its bots to:

Violate the rights of another party or any applicable laws;

Violate any of these Terms, our policies, or the policies of third-party providers that power the bots on Pal, which can be found in the bot profile;

Reverse assemble, reverse compile, decompile, translate, or otherwise attempt to uncover the source code or underlying components of models, algorithms, and systems of Pal, the bots, or their underlying technologies;

Abuse, harm, interfere with, reverse engineer, or disrupt Pal, the bots, or their underlying technologies, such as by accessing or using them fraudulently or deceptively, introducing malware, spamming, hacking, or bypassing any protective measures;

Use Pal or the bots in an automated manner, such as by exceeding any rate limits established by us from time to time;

Use Pal or the bots to develop products, applications, services, foundation models, or other large-scale models that compete with Pal, the bots, and their underlying technologies;

Use any method to extract data from Pal or the bots, including web scraping, web harvesting, or web data extraction methods, other than as permitted by these Pal Terms of Service; or

Represent that Bot-Generated Content (as defined below) is human-generated.

3.5 Feedback

We appreciate your feedback and suggestions on how to enhance Pal or its bots. By providing feedback, you agree to grant us the right, at our discretion, to use, copy, disclose, create derivative works, display, publish, and otherwise exploit the feedback, in whole or part, freely and without any compensation to you. 4. Your Content

4.1 Your Content

Pal enables you to pose questions, establish bookmarks, vote or like, post, or share bot conversations within Pal or externally. Any material you upload, publish, or display within Pal, along with any outcomes obtained in response to your prompts (or other inputs) from bots accessible through Pal ("Bot-Generated Content"), will collectively be referred to as "Your Content."

Content received by other users who ask questions and get responses from bots on Pal, similar or identical to yours, is not considered Your Content.

4.2 Your Bots

Pal allows you to create bots utilizing third-party LLMs or integrate your own bot into the Pal platform for user interaction (each, a "Your Bot"). Your Bots are linked to your Pal profile name. While you are not obligated to create a bot, if you do, you are responsible for ensuring its content is lawful and compliant with these Terms, our policies, and any third-party LLMs powering your bot. Pal may, at its sole discretion, remove your bot for violating these Terms, our policies, third-party LLMs' policies, or applicable law. Pal assumes no responsibility for your bots, their content, or others' use of them.

4.3 Ownership

You retain ownership of Your Content, subject to the non-exclusive rights granted below.

4.4 Your Responsibility

You acknowledge and agree that bots accessible via Pal respond to your questions based on knowledge from various sources, and Pal does not create or generate any Bot-Generated Content. Pal offers access to multiple underlying technologies, including third-party LLM providers. An LLM is a machine learning system that processes and generates text. You agree to be responsible for Your Content and Your Bots, ensuring they comply with applicable law, these Terms (including Restricted Uses), our policies, and any third-party LLMs powering bots within Pal.We reserve the right to block, remove, and/or permanently delete Your Content or Your Bots if they breach these Terms, our policies, the policies of any third-party LLMs powering bots within Pal, or violate any applicable law or regulation, or pose risks to Pal or negatively impact other Pal users' experiences.

4.5 Our Use of Your Content

Your Content and Your Bots to offer and enhance Pal, including:

- Submitting your questions and prompts to third-party LLMs to generate responses
- Displaying Your Content to others when using Pal's sharing features
- Making Your Bots available for others to interact with within Pal
- Promoting your shared content or Your Bots to others
- Analyzing your use of Pal to improve Pal services in general
- We may also need to use or disclose Your Content to comply with applicable laws, enforce these Pal Terms of Service and our policies, and detect and prevent fraud, security, or technical issues.

By using Pal, you grant us a worldwide, non-exclusive, royalty-free, transferable, and perpetual license to use Your Content and Your Bots as described above.

5. Changes to the Terms

We reserve the right to modify or update these Terms at any time, in our sole discretion. We will notify you of any changes by posting the new Terms on our website or within the Service. Your continued use of the Service after any changes constitutes your acceptance of the new Terms. If you do not agree to the changes, you must stop using the Service.

6. User Conduct

You agree to use the Service only for lawful purposes and in compliance with these Terms and all applicable laws and regulations. You are solely responsible for your conduct while using the Service and for any content or materials that you submit, post, or share through the Service.

You agree not to:
a. Use the Service for any illegal or unauthorized purpose;
b. Interfere with, disrupt, or damage the Service, its servers, or networks;
c. Upload, post, or transmit any content or materials that are abusive, harmful, offensive, or otherwise objectionable;
d. Impersonate any person or entity or misrepresent your affiliation with any person or entity;
e. Violate any third party's intellectual property rights, privacy rights, or other rights; or
f. Encourage, facilitate, or engage in any unlawful conduct or activities.

7. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We make no warranty that the Service will be uninterrupted, secure, or error-free, or that the Service will meet your expectations or requirements.

8. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall we, our affiliates, or our respective directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, arising out of or in connection with your access to, use of, or inability to use the Service, even if we have been advised of the possibility of such damages.In no event shall our total liability to you for all damages, losses, and causes of action (whether in contract, tort, or otherwise) arising out of or related to your use of the Service exceed the amount paid by you, if any, for accessing or using the Service during the twelve (12) months immediately preceding the event giving rise to such liability.

9. Indemnification

You agree to indemnify, defend, and hold harmless us, our affiliates, and our respective directors, officers, employees, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Service, your violation of these Terms, or your violation of any third party's rights, including without limitation any intellectual property, privacy, or other rights.

10. Termination

You may discontinue your use of Pal or terminate these Pal Terms of Service at any time, for any reason or no reason, by deleting your account through your settings. We reserve the right to terminate your access to Pal and/or these Pal Terms of Service at our discretion, at any time, for any reason or no reason. Any data collected prior to termination may continue to be used in accordance with these Terms.

We may, at our sole discretion, terminate or suspend your access to and use of the Service with or without cause and with or without prior notice. Upon termination, all provisions of these Terms that naturally should continue in effect will remain in effect, including, but not limited to, ownership provisions, warranty disclaimers, limitations of liability, and indemnification.

11. Governing Law and Jurisdiction

These Terms and any disputes arising out of or related to the Service shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law principles. Any legal action or proceeding arising out of or related to these Terms or the Service shall be brought exclusively in the courts of the United Kingdom, and you hereby submit to the jurisdiction and venue of such courts and waive any objection based on inconvenient forum.

12. Miscellaneous

These Terms constitute the entire agreement between you and us with respect to the Service and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and us with respect to the Service. If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable. Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. We may assign these Terms and our rights and obligations under these Terms without restriction.

13. International Users

The Service is operated and managed by us in the United Kingdom and is intended for users worldwide. By accessing and using the Service, you acknowledge and agree that your personal information may be processed and stored in the United Kingdom and other countries where we or our service providers maintain facilities. By using the Service, you consent to the transfer of your personal information to countries outside your country of residence, which may have different data protection rules than your country.

14. Third-party services

The Service may contain links to third-party websites, applications, or services that are not owned or controlled by us. We do not endorse or assume any responsibility for any such third-party websites, applications, or services. If you access any third party website, application, or service from the Service, you do so at your own risk, and you understand that these Terms and our Privacy Policy do not apply to your use of such sites. You expressly relieve us from any and all liability arising from your use of any third-party website, application, or service.

15. DMCA Notice

For your complaint to be valid under the DMCA, you must provide the following information in writing:

An electronic or physical signature of a person authorized to act on behalf of the copyright owner;
Identification of the copyrighted work that you claim has been infringed;
Identification of the material that is claimed to be infringing and where it is located on the Service;
Information reasonably sufficient to permit us to contact you, such as your address, telephone number, and email address;
A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or law; and
A statement, made under penalty of perjury, that the above information is accurate, and that you are the copyright owner or are authorized to act on behalf of the owner.

16. Changes to service

We reserve the right to modify, suspend, or discontinue the Service, or any part thereof, at any time and without notice. You agree that we shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the Service, or any part thereof.

17. Dispute resolution

If a dispute arises between you and us, we strongly encourage you to first contact us directly to seek a resolution by contacting us at help@hellopal.ai. All disputes arising out of or in connection with these Terms or your use of the Service shall be resolved by the courts of the United Kingdom, and you agree to submit to the exclusive jurisdiction of such courts.

18. Entire agreement

These Terms, together with the Privacy Policy and any other legal notices published by us on the Service, shall constitute the entire agreement between you and us concerning the Service. If any provision of these Terms is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect.

19. No waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

20. Force Majeure

We shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargos, acts of civil or military authorities, fire, floods, accidents, strikes or shortages of transportation facilities, fuel, energy, labor or materials.
